Funding users represent and warrant that they hold all required licenses or registrations (including any required under the California Financing Law, Cal. Fin. Patients

Patient users acknowledge that the platform is a workflow tool only and does not provide medical advice, diagnosis, or treatment. See our Medical Disclaimer. In an emergency, call 911. Patients are responsible for the accuracy of personal information they submit and for keeping their account credentials confidential.

You retain ownership of any data or content you upload to the platform. By uploading content, you grant us a license to use, store, and process it to provide our services.

    8. Disclaimers and Limitations of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIFLOW 360 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

MediFlow 360 is a technology platform and does not provide medical, legal, or professional advice. Users are responsible for their own professional judgments and decisions.

    9. Indemnification

You agree to indemnify, defend, and hold harmless MediFlow 360, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the platform, violation of these Terms, or violation of any rights of another party.

    10. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately for:

    • Violation of these Terms
    • Non-payment of fees
    • Suspected fraudulent or illegal activity
    • Request by law enforcement or government agencies

Upon termination, your right to access the platform ceases immediately. We will provide access to your data for a reasonable period to allow for data export.

    11. Governing Law, Binding Arbitration & Class Action Waiver

Governing Law & Venue. These Terms and any dispute arising out of or relating to them or the platform are governed by the laws of the State of California, without regard to its conflict-of-law principles. Subject to the arbitration provision below, the exclusive venue for any judicial proceeding shall be the state and federal courts located in Los Angeles County, California, and you and Pathora consent to personal jurisdiction there.

Binding Arbitration. You and Pathora agree that any dispute, claim, or controversy arising out of or relating to these Terms or the platform (each a "Dispute") will be resolved exclusively by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, except that either party may bring an individual claim in small claims court. Arbitration will be conducted by a single neutral arbitrator in Los Angeles County, California, or via remote/written procedures where available. The arbitrator's decision will be final and may be enforced in any court of competent jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq.

Class Action Waiver. You and Pathora agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If a court decides this class action waiver is unenforceable as to any claim, that claim (and only that claim) will be severed and proceed in court; all other claims will continue in arbitration.

30-Day Right to Opt Out. You may opt out of this arbitration agreement and class action waiver by sending written notice to support@mediflow360.com with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms. Your notice must include your full name, mailing address, account email, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

Injunctive Relief. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in court to prevent the unauthorized use or disclosure of confidential information, PHI, or intellectual property.

    12. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and MediFlow 360.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver.
